To qualify, the Company will be required to meet the continued listing requirement for market value of publicly held shares and all other initial listing standards for the Nasdaq Capital Market, with the exception of the bid price requirement, and will need to provide written notice of its intention to cure the deficiency during the second compliance period, together with its proposed plan to regain compliance.

Baird Medical Announces Receipt of Nasdaq Notification Regarding Minimum Bid Price Deficiency

NEW YORK, November 4, 2026 – Baird Medical Investment Holdings Limited (NASDAQ: BDMD) (“Baird Medical” or the “Company”), a healthcare innovator dedicated to microwave ablation (MWA) technology, today announced that the Company received a notification letter (the “Notification Letter”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC (“Nasdaq”), dated November 2, 2026 notifying the Company that it is not in compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) for continued listing on The Nasdaq Capital Market. This notification does not result in the delisting of the Company’s shares, and Baird Medical’s shares will continue to trade, uninterrupted, on the Nasdaq Capital Market under the ticker “BDMD”.

Nasdaq Listing Rule 5550(a)(2) requires listed securities to maintain a minimum bid price of US$1.00 per share, and Nasdaq Listing Rule 5810(c)(3)(A) provides that a failure to meet the minimum bid price requirement exists if the deficiency continues for a period of 30 consecutive business days.

In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company has a compliance period of 180 calendar days, or until Monday, May 3, 2027, to regain compliance with the minimum bid price rule. To regain compliance, the Company’s ordinary shares must have a closing bid price of US$1.00 or above for a minimum of ten (10) consecutive business days. In the event the Company does not regain compliance with the minimum bid price requirement by Monday, May 3, 2027, the Company may be eligible for an additional 180 calendar day grace period to regain compliance, or may face delisting.

This press release is issued pursuant to Nasdaq Listing Rule 5810(b), which requires prompt disclosure of receipt of a deficiency notification. The Company is currently looking into various options available with respect to regaining such compliance. The notification letter has no effect at this time on the listing of the Company’s ordinary shares, which will continue to trade uninterrupted on Nasdaq under the ticker “BDMD.”
